Distributor Terms

The rules for MLX distributors: how you are approved, how commission is worked out and paid, and what you must and must not do when you promote MLX.

Last updated Draft for legal review

1About these terms

These terms are between you, as an MLX distributor, and the MLX Network operator, MLX Foundation (“we”, “us”). They apply on top of the Terms of Use, the Privacy Policy and the Risk Disclosure. If they conflict on something about the distributor program, these terms win.

You accept them when you apply in the distributor portal at distributor.mlx.app. You are an independent business, not our employee, agent or partner, and you can’t make promises or sign anything on our behalf.

2Applying and approval

  • You apply with your MLX wallet. That wallet is your distributor account and receives your commission.
  • We review every application by hand and may accept or decline it without giving a reason. Give us accurate details, and keep them up to date.
  • An approved distributor (a partner) can invite their own team through a join link. The partner approves or declines their own team members; we can overrule them. Team members can’t invite a team of their own, so there is only one level below a partner.
  • You must meet the eligibility rules in the Terms of Use, and be allowed to promote MLX where you live and where your audience is.

3Your link and who counts as your buyer

  • Your link is mlx.app/d/<your code>. It can point to the home page or to Dedicated seats, Rewards, Token, Download, Whitepaper, Builders or Bench.
  • First link wins. The first distributor link a visitor follows is remembered in their browser for a year and is never replaced by a later one.
  • When that visitor creates a wallet or checks out, their wallet is tied to you for good. If they created their wallet after following your link (and not someone’s wallet invite link), you are also its referrer. (Until 20 October 2026 a referrer also received a 10% referral bonus in locked MLX on each dedicated seat; seats pay no up-front reward since then, so there is no referral bonus. Your commissions below are unchanged.)
  • Attribution relies on cookies. If a buyer blocks or clears them, uses another browser, or arrived through another distributor first, the sale is not yours. Our records decide who sold what.

4The commission schedule

Commission is a percentage of the dollar price of each sale credited to you (for dedicated seats, the tier price). For seats, the rate depends on the network-wide number of the seat sold (its seat number), so it steps down as the network grows. When a member of a partner’s team makes the sale, the partner also earns a team override.

  • Spot commission is reduced by any MLX the buyer sells back during the hold, and is nothing if they sell it all back.
  • There is no commission on your own purchases, on purchases by the partner who invited you, or on free Builder seats.
  • The figures in your portal are the ones that apply. Rates are worked out when the sale is recorded and don’t change afterwards.
We may change the schedule, the holds or the spot rate for future sales at any time, by updating them in the portal and on this page. [Notice period for schedule changes, if any] A change never alters commission on a sale already recorded.

5How and when you are paid

  • Each commission is pending for its hold period, then credited as USDC on MLX into your distributor wallet by a commission transaction on the public MLX ledger.
  • USDC on MLX is a claim on reserves we hold. You can keep it, use it on MLX, or withdraw it to Solana under the Terms of Use, including the minimum and fee.
  • We don’t pay commission in any other way, currency or to any other account. [Any invoicing or self-billing requirements, as advised by counsel]

6Lost, cancelled and clawed-back commission

  • If your account is suspended or rejected when a commission’s hold ends, that commission is cancelled and not paid.
  • If you break these terms, we may cancel your pending commission, and reverse commission already credited for sales connected with the breach, by debiting your MLX wallet or deducting it from future commission.
  • We may also reverse commission on any sale that turns out to be fraudulent, made in error, reversed, or made by someone not allowed to use MLX.

We will tell you what we reversed and why, and you can ask us to review it.

7How you must promote MLX

Never promise or imply a return, a profit, a future price, a buy-back or a listing. Never describe dedicated seats or MLX as an investment, savings, yield or “passive income”.
  • Be accurate. Describe dedicated seats, rewards, locks, the spot market and fees as the official MLX pages do, and mention that people can lose all they put in.
  • Point people to the Risk Disclosure and the Terms of Use before they buy.
  • Don’t present yourself as MLX, our staff or an official partner of anyone, and never suggest MLX is connected with Apple.
  • Don’t use the MLX name or logos in domain names, app names, social handles or paid search ads without our written approval.
  • Don’t spam, cold-message people in bulk, or buy lists of contacts.
  • Don’t market to anyone under 18, or to people in places where MLX is restricted.
  • Never handle a buyer’s money, keys or recovery phrase, buy on their behalf, or tell them to pay anywhere other than the official checkout.
  • Don’t offer cash-back, rebates or other incentives funded from your commission unless we agree in writing.

8Disclose that you are paid

Whenever you promote MLX, make it clear and easy to see that you earn a commission on what people buy through your link, for example “I’m an MLX distributor and earn a commission if you buy through my link.” Put it next to the link or at the start of a video or post, not hidden in a profile, and follow any platform rules for paid content (such as #ad labels).

9Follow the law where you and your audience are

You are responsible for complying with every law that applies to your promotion, including:

  • advertising, consumer protection and influencer rules;
  • financial promotion, securities and crypto-asset marketing rules, and any licence or registration they require;
  • anti-spam, privacy and data protection laws for any personal data you collect; and
  • sanctions and anti-money-laundering laws.

Some places restrict or ban promoting crypto-assets or similar products to the public. If you aren’t sure you may promote MLX somewhere, don’t. [Jurisdiction-specific restrictions for distributors, as advised by counsel]

10No self-dealing or gaming

  • Don’t buy through your own link, or through a team member’s link, to earn commission on your own money.
  • Don’t create or use extra wallets, fake buyers or someone else’s identity to generate commission.
  • Don’t set cookies without a real click (cookie stuffing), hide your link, or take credit for sales you didn’t bring.
  • Don’t arrange for buyers to sell back MLX you were paid commission on, or split commission with buyers to get around these rules.

11Buyer data

The portal shows your attributed sales with buyer wallet names partly masked. Use that only to run your distributor business, and don’t try to identify buyers from it. You are responsible for any personal data you collect yourself, and for handling it lawfully.

12Taxes are yours

Commission is your income. You are responsible for registering, reporting and paying any taxes on it, including income tax, VAT, GST or sales tax, wherever they apply. We may ask for tax details if the law requires us to report payments. [Tax forms or reporting the operator needs from distributors]

13Ending the arrangement

  • You can stop being a distributor at any time by telling us.
  • We can suspend or end your account at any time, immediately if you break these terms or the law, or to protect buyers or MLX.
  • When your account is suspended or ended, your link stops attributing new sales, and commission whose hold ends while you are suspended is cancelled (see cancelled commission). Commission already credited stays yours unless it is reversed under these terms.
  • Sections on promotion, disclosure, taxes, clawback and buyer data continue to apply after you stop.

14Changes, liability and law

We may update these terms; the date at the top shows the latest version, and continuing to promote MLX after an update means you accept it. The disclaimers, limits on liability, governing law and dispute terms in the Terms of Use apply to these terms too. You agree to cover our losses from claims caused by your breach of these terms, including fines from regulators over your promotion.
